If you go to section 4.5: http://www.freebsd.org/doc/en_US.ISO8859-1/books/handbook/ports-using.html you will see that the portupgrade utility is said to be available at /usr/ports/ports-mgmt/portupgrade whereas in fact it is at /usr/ports/sysutils/portupgrade in FreeBSD 6.2. At stanza "29.6.2.7.1 Using make world to populate root", the shown script is missing the make installworld && make installkernel directives. Due to that, the make distribution seems to fail with errorcode 64. One more thing to add may be a "cp /boot/device.hints $DESTDIR/boot/" before "make installkernel", because "make installkernel" failed on my machine without having a device.hints in place.
