#cd /usr/ports/sysutils/portupgrade/
#make install
#man portupgrade

You want to 

cvsup a new ports tree, then

#portsdb -uU

then

#pkgdb -F

then

#portupgrade -a -r -v

But check the man pages first to make sure the above is right.
