i have solved my problem by deleting /var/db/pkg/pkgdb.db and
rebuilding it...

# rm -f /var/db/pkg/pkgdb.db ; pkgdb -F

...after it, portupgrade worked just fine. 

i need confirmation whether this was (a|the) correct solution not just 
a workaround.
