Ok digging any further.
It is not apache that panics but "apachectl" and in particular it is the 
line (at least this line panics, dunno if there are others :-) :

eval `limits -e -U www` >/dev/null 2>&1

Infact making a little script in this way:
---> begin <---
#!/bin/sh

eval `limits -e -U www` >/dev/null 2>&1
---> end <---

panics the box too ...
