386, 8MB of RAM, and the base OS will get you there. 
If you want the machine to be anything more than a dialin server, you might
want more RAM. I have a dialOUT machine running in 8MB and it's just
fine. DialIN shouldn't consume more resources than that, unless you're 
having multiple people dial in at once, and they run programs on the 
box.
