I'm still looking into why the panic occurs, but the root of your
problem is that interrupts are not being properly routed to the
second function of the 39160.  If you pop into your system bios
and set the IRQ routing to use the 8259 instead of I/O APICs,
it will probably work.  That has been my experience with my PR440FX
motherboard with twin PPRO 200s.
